Partner Agreement

This Agreement made by and between Toomi Mobility Ltd, 4485 Lawrenceville Hwy NW Suite 207 # 3412 Lilburn GA 30047, hereinafter called “Toomi Mobility” and you, an Independent Service Provider (hereinafter called “ISP”). The parties to this Agreement agree as follows:


Scope of Services

1.1 Service Provider agrees to provide roadside assistance services (the "Services") to customers of Company as outlined in the mutually agreed upon terms and conditions.

1.2 The Services may include but are not limited to vehicle towing, jump-starts, lockout assistance, tire changes, fuel delivery, and other related services as requested by Company's customers.


Service Provider Obligations

2.1 Service Provider shall perform the Services with due care, skill, and in compliance with all applicable laws, regulations, and industry standards.

2.2 Service Provider shall maintain all necessary licenses, permits, and insurance coverage, including liability insurance and worker's compensation insurance, as required by law.

2.3 Service Provider shall ensure that its employees or subcontractors involved in performing the Services are properly trained and qualified.

2.4 Service Provider shall promptly respond to service requests dispatched by Company and provide timely updates on the status of each service request.

2.5 Service Provider shall maintain appropriate and well-maintained equipment necessary to perform the Services in a professional and efficient manner.


Compensation

3.1 Compensation for the Services rendered by Service Provider shall be as agreed upon in a separate document or as mutually determined by the parties.

3.2 Service Provider shall submit accurate and itemized invoices to Company for Services rendered, and payment shall be made by Company within the agreed-upon timeframe.


Confidentiality

4.1 Both parties shall treat any non-public information received or disclosed during the course of this Agreement as confidential and shall not disclose it to any third party without the prior written consent of the disclosing party, except as required by law.


Term and Termination

5.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either party without any prior notice.

5.2 Either party may terminate this Agreement immediately in the event of a material breach by the other party without notice.

6.1 This Agreement shall be governed by and construed in accordance with the laws of Lagos State Nigeria.

6.2 Any dispute arising out of or in connection with this Agreement shall be resolved amicably between the parties. If the parties are unable to resolve the dispute amicably, it shall be submitted to binding arbitration in accordance with the rules of [Arbitration Body] in [Jurisdiction].


Entire Agreement

7.1 This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether written or oral.
